1. Pricing Model and Billing

1.1 Pricing Plans

Easily EDI Integration uses Shopify's managed billing system with the following available plans:

1.2 Billing and Payments

  • Billing: Managed directly by Shopify every 30 days
  • Payment method: Through Shopify Billing API
  • Currency: Euros (EUR)
  • Plan changes: Available at any time
  • Cap increases: Possible during current billing cycle

1.3 Transformations

A transformation is counted when:

  • An EDI order is converted to a Shopify order
  • An EDI invoice is generated from a Shopify fulfillment

1.4 No Additional Costs

  • No setup costs or installation fees
  • No permanence commitments
  • No cancellation penalties
  • Technical support included in all plans

2. General Information

These Terms of Service ("Terms") govern the use of the Easily EDI Integration application for Shopify ("Application") developed by EdiEZ.Online S.L. ("EdiEZ.Online", "we", "our").

3.1 Terms of Use

By installing or using our Application, you ("Customer", "User") accept these Terms in their entirety. If you do not agree, do not install or use the Application.

  • Companies: Must have authority to bind your company
  • Individuals: Must be over 18 years old and act in business capacity
  • Representation: You guarantee that you have the power to accept these terms

3.3 Modifications

We reserve the right to modify these Terms:

  • Notification: 30 days notice by email
  • Minor changes: Technical updates with 7 days notice
  • Acceptance: Continued use constitutes acceptance

4. Service Description

4.1 Main Functionality

Easily EDI Integration provides automatic integration between:

  • EDI systems of major retailers (LeroyMerlin, El Corte Inglés, Carrefour, etc.)
  • Your Shopify store for order and billing management
  • Bidirectional communication for complete automation

4.2 Included Services

  • Automatic conversion: EDI → Shopify Orders
  • Invoice generation: Fulfillment → EDI Invoices
  • Synchronization: Order and shipping status
  • Technical support: Incident resolution and configuration
  • Commercial management: Retailer relationships included

4.3 Prerequisites

  • Active Shopify store with cataloged products
  • EAN codes on products for automatic matching
  • Established commercial relationship with compatible retailers
  • Prior approval from EdiEZ.Online for installation

5. Installation and Configuration Process

5.1 Prior Approval Required

Installation requires prior approval:

  • Request: Initial contact at info@ediez.online or through the web: https://ediez.online
  • Evaluation: Compatibility and needs analysis
  • Commercial agreement: Signing of custom proposal
  • Authorization: Unique installation link provided by email

5.2 Configuration Included

  • Technical setup: Complete EDI integration configuration
  • Testing: Tests with real retailer orders
  • Training: Team training on system usage
  • Go-live: Assisted production deployment

5.3 Implementation Timeline

  • Technical configuration: 24-48 hours
  • Testing with retailers: 1-3 business days
  • Training and go-live: 1-2 additional days

6. Customer Obligations

6.1 Information and Access

  • Accurate data: Provide correct commercial information
  • Shopify access: Authorize necessary permissions for the application
  • Documentation: Provide contracts/agreements with retailers
  • Communication: Respond to information requests within 48h

6.2 Store Configuration

  • Cataloged products: Maintain updated catalog with EAN codes
  • Inventory: Manage available stock for automatic orders
  • Fulfillment: Process orders according to SLAs agreed with retailers
  • Notifications: Keep contacts updated for communications

6.3 Commercial Compliance

  • Retailer relationships: Maintain current commercial agreements
  • Service quality: Meet delivery and quality standards
  • Communication: Report changes in products or availability

7. EdiEZ.Online Obligations

7.1 Service Provision

  • Availability: 99.9% monthly uptime (excluding scheduled maintenance)
  • Processing: EDI → Shopify conversion in less than 5 minutes
  • Support: 24h response for technical and commercial incidents
  • Maintenance: Automatic updates without interruptions

7.2 Support and Management

  • Account management: Personalized account management
  • Technical support: Email and phone during business hours
  • Retailer relationships: Communication management with partners

7.3 Security and Compliance

  • Data protection: Full GDPR compliance
  • Security: Encryption and industry-standard AS2/X-400 protocols
  • Backup: Automatic backups and recovery
  • Audit: Complete records for traceability

8. Limitations and Exclusions

8.1 Service Limitations

  • External dependencies: Availability of retailer systems
  • Third-party changes: Modifications to Shopify or retailer APIs
  • Volume: Subject to reasonable limits according to agreed pricing
  • Customization: Specific modifications subject to additional quotation

8.2 Warranty Exclusions

EdiEZ.Online does not guarantee:

  • Specific commercial results or sales increases
  • 100% availability of third-party systems
  • Future compatibility with Shopify or retailer changes
  • Processing times of external systems

8.3 Liability Limitation

EdiEZ.Online's total liability is limited to:

  • Maximum amount: Fees paid in the previous 12 months
  • Direct damages: Exclusion of indirect damages or lost profits
  • Force majeure: Exclusion for events beyond our control

9. Intellectual Property

9.1 EdiEZ.Online Rights

  • Software: All rights to the application and algorithms
  • Trademark: "EdiEZ.Online" and associated logos are registered trademarks
  • Methodology: EDI integration processes and know-how
  • Developments: Improvements and new functionalities

9.2 Customer Rights

  • Data: Maintains complete ownership of their commercial data
  • Configuration: Access to account-specific configurations
  • Export: Right to export data upon service termination

9.3 Third-Party Licenses

  • Shopify: Subject to Shopify's terms and conditions
  • Retailers: Compliance with existing EDI agreements
  • Components: Open source licenses included as applicable

10. Service Termination

10.1 Termination by Customer

You can cancel the service:

  • Without penalty: At any time without additional costs
  • Notification: 30 days notice by email
  • Data: Export available for 90 days post-cancellation

10.2 Termination by EdiEZ.Online

We may terminate the service for:

  • Non-compliance: Violation of these terms (30 days to correct)
  • Non-payment: Overdue invoices for more than 60 days
  • Illegal activity: Use for unauthorized purposes

10.3 Effects of Termination

  • Access: Immediate suspension of service
  • Data: Availability for export for 90 days
  • Billing: Payment of pending services

11. Force Majeure

11.1 Force Majeure Events

We will not be responsible for delays or failures caused by:

  • Natural disasters: Earthquakes, floods, etc.
  • Government actions: Regulations, restrictions
  • Third-party failures: Shopify, retailer, internet outages
  • Extraordinary circumstances: Pandemics, wars, etc.

11.2 Mitigation

  • Notification: Immediate communication of events
  • Alternatives: Implementation of temporary solutions when possible
  • Compensation: Proportional credits for downtime

12. Applicable Law and Jurisdiction

12.1 Legislation

These terms are governed by:

  • Spanish law: Civil and Commercial Code
  • EU regulations: GDPR and applicable directives
  • EDI standards: International commercial regulations

12.2 Dispute Resolution

  1. Direct negotiation: Friendly resolution attempt (30 days)
  2. Mediation: Madrid Mediation Center
  3. Arbitration: Madrid Arbitration Court
  4. Courts: Madrid jurisdiction as last resort

12.3 Language

  • Official version: Spanish
  • Translations: For convenience only, no legal value
  • Interpretation: According to Spanish law

13. General Provisions

13.1 Entire Agreement

  • Complete terms: This document constitutes the complete agreement
  • Modifications: Only in writing and signed by both parties
  • Precedence: Over previous or parallel communications

13.2 Severability

  • Independent clauses: The invalidity of one does not affect the others
  • Adaptation: Modification of invalid clauses to maintain purpose
  • Maintenance: Of the rest of the agreement in force

13.3 Waiver

  • Not automatic: Non-enforcement of a right does not constitute waiver

13.4 Assignment

  • By EdiEZ.Online: Permitted to group companies or due to change of control
  • By Customer: Requires prior written consent
